Order Acceptance: All orders are subject to acceptance by us. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in pricing or product information, or suspected fraudulent activity.

Pricing: Prices are subject to change without notice. The price charged will be the price in effect at the time the order is placed and accepted. All prices are exclusive of applicable taxes, duties, and shipping charges unless otherwise specified.

Payment Terms:

• Payment is due within 30 days of invoice date unless otherwise agreed
• Late payments may incur interest charges at 1.5% per month
• We accept various payment methods including wire transfer, credit cards, and approved credit accounts
• Credit terms are subject to credit approval and may require personal or corporate guarantees

Minimum Orders: Minimum order quantities and values may apply to certain products. Custom or specialized connectors may have higher minimum order requirements.

Delivery Terms: Delivery dates are estimates only and are not guaranteed. We are not liable for delays in delivery due to circumstances beyond our reasonable control, including but not limited to force majeure events, supplier delays, or transportation issues.

Risk of Loss: Risk of loss and title to products pass to the buyer upon delivery to the carrier at our facility, unless otherwise specified in writing.

Shipping Costs: Shipping and handling charges are additional unless otherwise specified. International shipments may be subject to customs duties, taxes, and other charges that are the responsibility of the buyer.

Inspection: Buyers must inspect products immediately upon receipt and notify us of any damage, shortage, or non-conformity within 5 business days of delivery.

Return Authorization: Returns require prior written authorization. Unauthorized returns will not be accepted. Return authorization must be requested within 30 days of delivery.

Condition Requirements: Returned products must be:

• In original, unused condition
• In original packaging with all documentation
• Free from damage, modification, or contamination
• Standard catalog items (custom products are generally non-returnable)

Return Fees: Returns may be subject to restocking fees up to 25% of the product value. Shipping costs for returns are the responsibility of the buyer unless the return is due to our error.

Non-Returnable Items: Custom-manufactured products, special orders, and products modified to customer specifications are generally non-returnable unless defective.

Limited Warranty: We warrant our products to be free from defects in materials and workmanship under normal use for a period of 12 months from the date of delivery. This warranty is limited to replacement or repair of defective products at our discretion.

Warranty Exclusions: This warranty does not cover:

• Normal wear and tear
• Damage due to misuse, abuse, or improper installation
• Damage due to environmental conditions beyond product specifications
• Products that have been modified or repaired by others
• Damage due to electrical overload or incorrect voltage application

DISCLAIMER: EXCEPT FOR THE LIMITED WARRANTY STATED ABOVE, WE MAKE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE LIMITED WARRANTY STATED ABOVE IS THE SOLE AND EXCLUSIVE WARRANTY AND IS IN LIEU OF ALL OTHER WARRANTIES.

LIMITATION OF DAMAGES: IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF USE, LOSS OF DATA, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MAXIMUM LIABILITY: OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR PRODUCTS SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

Application Responsibility: Customers are solely responsible for determining the suitability of our products for their specific applications. We do not warrant that our products will meet customer's specific requirements or that their use will be uninterrupted or error-free.

Time Limitation: Any claim must be brought within one year after the cause of action arises.

Proprietary Rights: All intellectual property rights in our products, including but not limited to patents, trademarks, copyrights, trade secrets, and know-how, remain our exclusive property.

Limited License: Purchase of our products grants only a limited license to use the products for their intended purpose. No other rights are granted, including rights to reverse engineer, copy, or create derivative works.

Trademark Usage: Use of our trademarks, trade names, or logos requires prior written permission. Unauthorized use is strictly prohibited.

Third-Party Rights: Customers are responsible for ensuring their use of our products does not infringe third-party intellectual property rights.

Regulatory Compliance: Our products are designed to meet applicable industry standards and regulations. However, customers are responsible for ensuring compliance with all applicable laws, regulations, and standards in their jurisdiction and application.

Export Controls: Products may be subject to export control laws and regulations. Customers are responsible for compliance with all applicable export control requirements.

Safety Standards: While our products are designed to meet relevant safety standards, proper installation, use, and maintenance are critical for safe operation. Customers must follow all applicable safety procedures and guidelines.

Environmental Compliance: Information regarding environmental compliance, including RoHS and REACH, is available upon request. Customers are responsible for compliance with applicable environmental regulations in their jurisdiction.

Confidential Information: Both parties may have access to confidential information during the course of business. Confidential information includes technical data, pricing, customer lists, and any information marked as confidential.

Non-Disclosure: Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties without prior written consent.

Permitted Uses: Confidential information may only be used for the purposes of the business relationship and must be protected with the same degree of care used to protect the recipient's own confidential information.

Survival: Confidentiality obligations survive termination of the business relationship for a period of five years.

Excused Performance: Neither party shall be liable for any failure or delay in performance under these Terms that is due to causes beyond its reasonable control, including but not limited to:

• Acts of God, natural disasters, or severe weather conditions
• War, terrorism, civil unrest, or government actions
• Labor strikes, lockouts, or other labor disputes
• Supplier failures, material shortages, or transportation disruptions
• Pandemics, epidemics, or public health emergencies
• Cyber attacks or technology failures

Notification: The affected party must promptly notify the other party of any force majeure event and provide reasonable documentation of the event's impact.

Mitigation: The affected party must use reasonable efforts to mitigate the effects of the force majeure event and resume performance as soon as practicable.

Termination Rights: Either party may terminate the business relationship at any time with or without cause by providing 30 days written notice.

Immediate Termination: We may immediately terminate or suspend service in the event of:

• Material breach of these Terms
• Non-payment of amounts due
• Insolvency, bankruptcy, or assignment for benefit of creditors
• Violation of applicable laws or regulations

Effect of Termination: Upon termination, all outstanding obligations become immediately due and payable. Provisions relating to warranties, limitations of liability, confidentiality, and intellectual property survive termination.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of [State/Country], without regard to conflict of law principles.
